The Company shall not be liable for any loss or damage arising from your failure to maintain Account security.

The purchase of the Product does not transfer any intellectual property rights from the Company to you. You do not acquire any ownership interest in the Product or any portion thereof. All rights not expressly granted by these Terms are reserved by the Company.
The Company's proprietary frameworks, including but not limited to the 100-Point Niche Selection Scoring System, the Compound Outreach Sequence methodology, the Zero Trust Automation Architecture framework, the Enterprise Value Ladder system, and the four-stage Agency Scaling Roadmap, constitute trade secrets of the Company and are protected under the Defend Trade Secrets Act (18 U.S.C. § 1836 et seq.) and applicable state trade secret statutes.
You expressly agree that you will not:
The Company reserves the right to terminate or suspend your access to the Product, in whole or in part, with or without notice, in the event of: (a) your breach of any provision of these Terms; (b) your engagement in prohibited activities as described in Section 1.7; (c) your request for a refund under the conditions described in Section 8; (d) your failure to pay applicable fees; or (e) any conduct the Company reasonably believes creates legal liability for the Company, its officers, directors, employees, or other users.
Upon termination, all licenses granted under these Terms immediately cease, and you must destroy all copies of Product materials in your possession. Sections 1.3 (residual obligations), 1.6, 1.7, 2, 3, 4, 5, 6, 7, 9, 10, 11, and 12 shall survive termination.
AI Automation Empire LLC acts as the Data Controller with respect to personal data collected from you during the purchase and use of the Product, as defined under Regulation (EU) 2016/679 (General Data Protection Regulation, "GDPR"), the California Consumer Privacy Act (Cal. Civ. Code § 1798.100 et seq., "CCPA"), and analogous applicable data protection laws. We use the following principal sub-processors in delivering the Product: Stripe, Inc. (payment processing, US); Amazon Web Services, Inc. (hosting and infrastructure, US); Google LLC (video hosting, email, analytics, US); Intercom, Inc. or equivalent (customer support platform, US); Circle or equivalent (community platform, US). We maintain current Data Processing Agreements with each sub-processor. Notification of material sub-processor changes will be provided via email to the address on file, with a minimum of 30 days' notice.

THE COMPANY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE PRODUCT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY; IN SUCH JURISDICTIONS, THE COMPANY'S LIABILITY SHALL BE LIMITED TO THE MINIMUM EXTENT PERMITTED BY APPLICABLE LAW.
You agree to defend, indemnify, and hold harmless the Company, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Product in violation of these Terms; (b) your use of legal templates without appropriate legal review; (c) your implementation of automation systems for clients without appropriate security, compliance, or professional competency; (d) claims by your clients arising from automation systems you build; (e) your violation of any third party's rights, including intellectual property rights or privacy rights; or (f) your violation of applicable laws or regulations.
The Product is intended exclusively for: building and scaling a legitimate AI automation consulting or agency business; implementing automation systems for clients in compliance with applicable laws; educational purposes related to AI automation, business strategy, and enterprise security; and developing professional skills in automation consulting, sales, and delivery.
You must not use the Product or the knowledge derived from it to:
Access to the private practitioner community is conditioned on compliance with community standards, which prohibit: harassment, discrimination, or disrespectful conduct toward other members; sharing of confidential client information; promotion of competitive products or services; misleading claims about results or credentials; solicitation of other members for competing products; and any conduct that the Company, in its sole discretion, determines to be harmful to the community. Violations may result in immediate community access revocation without refund.
These Terms and all disputes arising under or in connection with them shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to conflict of law principles. For consumers located in the European Union, mandatory consumer protection provisions of your country of residence shall apply in addition to California law.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS. EXCEPT AS SET FORTH BELOW, ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING FROM OR RELATING TO THESE TERMS OR THE PRODUCT (EACH A "DISPUTE") SHALL BE FINALLY RESOLVED BY BINDING ARBITRATION ADMINISTERED BY JAMS (JUDICIAL ARBITRATION AND MEDIATION SERVICES) UNDER ITS COMPREHENSIVE ARBITRATION RULES AND PROCEDURES, WITH ONE ARBITRATOR SITTING IN SANTA CLARA COUNTY, CALIFORNIA.
The arbitration shall be conducted in English. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or trade secrets.
TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND THE COMPANY EACH WAIVE THE RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, REPRESENTATIVE, PRIVATE ATTORNEY GENERAL, OR SIMILAR PROCEEDING. DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS AND MAY NOT BE CONSOLIDATED WITH OTHER DISPUTES OR PROCEEDINGS.
For any claims not subject to arbitration under this Section 7, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Santa Clara County, California. You waive any objection to jurisdiction, venue, or inconvenient forum in such courts.

For users in the EU, EEA, or UK, you have the right to lodge a complaint with your local supervisory authority (in the EU, this is your country's national data protection authority; in the UK, this is the Information Commissioner's Office) if you believe we have not complied with applicable data protection law. The Company does not subject you to decisions based solely on automated processing, including profiling, that produce legal or similarly significant effects, as described in Article 22 GDPR. Any segmentation or personalization performed using your usage data involves human review of material decisions.
In the event of a personal data breach that is likely to result in a risk to your rights and freedoms, the Company will notify affected individuals without undue delay, and in any event within 72 hours of becoming aware of such a breach where required by GDPR Article 33 and Article 34. Notification will be provided via email to the address on file and, where required, to the applicable supervisory authority.
In the preceding 12 months, the Company has collected the following categories of personal information as defined under the CCPA: Identifiers (name, email, IP address); Commercial information (purchase records, transaction history); Internet or electronic network activity information (website interactions, content accessed); Geolocation data (country/state level based on IP); Inferences drawn from the above for the purposes of product improvement. The Company has not collected sensitive personal information as defined by the CPRA.
We collect personal information for the following business purposes: providing and improving the Product and associated services; processing transactions and maintaining financial records; communicating with you about your account, purchases, and Product updates; safety and fraud prevention; internal analytics and research to improve the Product; legal compliance. We do not sell or share personal information for cross-context behavioral advertising.

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
The Company's failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of the Company.
You may not assign, delegate, or transfer your rights or obligations under these Terms, including your license to the Product, without the Company's prior written consent. The Company may assign these Terms, in whole or in part, in connection with a merger, acquisition, corporate restructuring, or sale of all or substantially all of its assets. These Terms shall bind and inure to the benefit of the parties' respective successors and permitted assigns.
The Company shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including: acts of God, natural disasters, pandemic or epidemic conditions, government actions, war, terrorist acts, cyberattacks, power failures, third-party platform outages, or labor disputes. In such circumstances, the Company will use commercially reasonable efforts to maintain Product availability and will notify affected users of material disruptions.
The "lifetime updates" commitment means that all purchasers will receive access to future versions of the Product content for the duration of the Company's active operation of the AI Automation Empire product line. "Active operation" is defined as the period during which the Company continues to: (a) maintain the practitioner portal; (b) publish at least one major content update per calendar year; and (c) maintain support channels. The Company will provide a minimum of 90 days' notice via email if it intends to discontinue active operation of the Product. The Company does not guarantee that updates will be published on any specific schedule, or that updates will address any particular topic or market development.
